Introduction

Sardonyx Nex (“Sardonyx Nex”, “we”, “us”, “our”) is the learning platform operated by Enterprise Technology International, a Jamaican company headquartered at 264 Pineapple Drive, Jamaica. These Terms & Conditions (“Terms”) govern your access to and use of the Sardonyx Nex web platform and any related services, content, certificates and materials we make available (collectively, the “Service”).

Acceptance of Terms

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy.

If you do not agree, you may not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Eligibility

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Service.

Where the Service is provided to you through an organisation (for example your employer or training provider), that organisation must ensure its members comply with these Terms.

Account Registration & Security

Accounts on Sardonyx Nex are created by an administrator or instructor on your behalf, or through a registration flow approved by your organisation. You agree to keep your account information accurate and up to date.

Two-factor authentication (2FA) is required on every sign-in. You are responsible for safeguarding your password, your authenticator device, and any recovery codes. You will be signed out automatically after a period of inactivity, and five consecutive failed sign-in attempts will lock your account; an administrator can unlock it on request.

You agree not to share your account, transfer it, or allow another person to use it on your behalf. You are responsible for all activity that occurs under your account.

Enrolments, Courses & Curriculum

Enrolments are managed by administrators and instructors. Courses may have scheduled start dates or prerequisite courses that must be completed before access is granted.

A course is considered complete only when every lesson has been finished and every assessment has been passed. Lesson progress, assessment attempts and assignment submissions are recorded per enrolment attempt.

Instructors may not change a curriculum while a current student has lesson progress on it, to protect that student’s record.

Certificates

When you finish a course, Sardonyx Nex issues a digital certificate of completion that is recorded against your account and visible on your dashboard.

If you are re-enrolled in the same course and complete it again, a new certificate is issued. Earlier certificates remain on record and are labelled “Superseded”. Removing a student from an active (in-progress) attempt does not affect any certificates already earned.

Certificates evidence completion of a course only. They are not professional licences, academic credentials or government accreditations unless we expressly state otherwise.

Acceptable Use

You agree not to:

• use the Service to upload, share or transmit unlawful, defamatory, harassing or infringing content;

• attempt to circumvent the 2FA gate, account lockout, or any other security control;

• share, resell or redistribute course content, assessment questions or certificates without our written permission;

• impersonate another user, instructor or administrator;

• scrape, reverse engineer, or interfere with the operation of the Service.

Instructor & User Content

Instructors retain ownership of the course materials, assessment content, lesson videos and assignments they upload. By uploading content, you grant Sardonyx Nex a non-exclusive, worldwide licence to host, store, display and stream that content to enrolled students for the purposes of delivering the Service.

You confirm that any material you upload (including avatars, ticket attachments, assignment submissions and certificate files) is yours to share, or that you have the necessary rights and permissions.

Payments and Subscriptions

Where a course or feature requires payment, fees and any applicable taxes will be presented to you before purchase. All fees are stated in the currency shown at checkout. Payments are processed by a third-party provider; we do not store full card numbers on our systems.

Intellectual Property

The Sardonyx Nex name, the SardonyxNex and SardonyxGO marks, the platform interface, and all software, designs and original content are owned by Enterprise Technology International or its licensors and are protected by copyright, trade mark and other intellectual property laws.

Suspension and Termination

We may suspend or terminate your access to the Service, or remove an enrolment, if you breach these Terms or use the Service in a way that is unlawful or harmful to other users. An organisation administrator may also remove an enrolment at any time. Completed enrolments and any certificates already earned are retained as a record and cannot be removed by the Remove from course action.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sardonyx Nex and Enterprise Technology International disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Sardonyx Nex and Enterprise Technology International will not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits, data, goodwill or other intangible losses, arising out of or in connection with your use of the Service.

Governing Law

These Terms are governed by the laws of Jamaica. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Jamaica.

Changes to Terms & Conditions

We may update these Terms from time to time. Material changes will be communicated through the platform or by email at the address on your account. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes.
